Terms of Service
These Terms of Service ("Terms") govern a merchant's installation of and access to ReorderPilot, a service provided by Verluno Labs. By installing, accessing, or using ReorderPilot, the merchant agrees to these Terms.
1. ReorderPilot service
ReorderPilot provides inventory-planning, forecasting, supplier, reorder recommendation, and purchase-order management tools for Shopify merchants.
Features may change as the service is improved. We may modify, add, or discontinue features where reasonably necessary to operate or improve the service.
2. Shopify
ReorderPilot is designed to integrate with Shopify but is provided by Verluno Labs and not by Shopify.
The merchant is responsible for maintaining an eligible Shopify store and granting the Shopify permissions necessary for the features the merchant chooses to use.
3. Merchant responsibilities
The merchant is responsible for:
- Providing accurate supplier and inventory planning information.
- Reviewing forecasts and reorder recommendations before relying on them.
- Reviewing purchase orders before sending them to suppliers.
- Maintaining appropriate permissions and security for its Shopify account.
- Complying with applicable laws and agreements relating to its business, customers, suppliers, and use of Shopify.
4. Forecasts and recommendations
Forecasts, demand estimates, reorder quantities, expected stock levels, and similar output are operational estimates generated from available store information and merchant-configured assumptions.
They are not guarantees of future sales, inventory requirements, supplier performance, or business results. Merchants remain responsible for purchasing and inventory decisions.
5. Data processing and privacy
The merchant authorizes Verluno Labs to process Shopify and merchant-provided information as necessary to provide ReorderPilot in accordance with the Privacy Policy.
The ReorderPilot Privacy Policy and ReorderPilot Data Processing Addendum are incorporated into these Terms.
6. Customer data
ReorderPilot uses the minimum Shopify order information reasonably necessary for inventory forecasting. ReorderPilot does not require customer name, email, phone, or address fields for that functionality.
The merchant remains responsible for its own obligations to customers under applicable privacy and data-protection law.
7. Availability
We aim to provide a reliable service, but ReorderPilot can depend on Shopify, internet connectivity, hosting providers, email providers, and other third-party systems.
We do not guarantee uninterrupted or error-free operation.
8. Intellectual property
ReorderPilot, its software, user interface, branding, and related materials are owned by Verluno Labs or its licensors. These Terms do not transfer ownership of those materials to the merchant.
9. Suspension and termination
A merchant may stop using ReorderPilot by uninstalling the App. We may suspend or terminate access where reasonably necessary for security, abuse prevention, legal compliance, or material violation of these Terms.
Data deletion following uninstall is handled as described in the Privacy Policy and Data Processing Addendum.
10. Disclaimers
To the extent permitted by applicable law, ReorderPilot is provided on an "as available" basis. Verluno Labs does not warrant that forecasts or recommendations will be accurate in every circumstance.
11. Limitation of liability
To the maximum extent permitted by applicable law, Verluno Labs will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of ReorderPilot or reliance on forecasts, recommendations, or supplier information.
12. Changes
We may update these Terms as the service, applicable law, or Shopify requirements change. The effective date above identifies the current version.
